I wish to submit certain ideas to KCI for its review and consideration.  To induce KCI to consider these ideas, I hereby accept the Terms of Submission set forth below.  I understand that the term “KCI” includes Kinetic Concepts, Inc., its subsidiaries, and its affiliated companies.

1. I am submitting my ideas to KCI on a non-confidential basis.  I agree that no confidential relationship or obligation of secrecy is to be established between me and the Company with respect to the submitted ideas and materials.

2. I agree that KCI is not obligated to keep secret any information I submit under this agreement, and KCI may retain all materials I submit.

3. I agree that KCI has the unrestricted right to use any submitted ideas, without compensation, except to the extent that any such disclosure is protected by a valid patent, copyright or trademark issued under the laws of the United States or a foreign country. The submitter, by this agreement, does not grant any rights to KCI under existing or future patents, trademarks or copyrights. 

4. I warrant that I am the sole owner, creator, inventor and author of the submitted ideas, that I have the full right and authorization to submit these ideas, and that no other person or entity, unless disclosed to KCI in writing, has or shall have any right, title and interest in the submitted ideas.

5. Any prior negotiations or agreements are merged into and superseded by these terms, which may not be modified or waived except in a writing signed by a company officer.

6. This agreement, and the relationship established hereunder, shall be interpreted and construed in accordance with the internal laws of the State of Texas, without regard to its principles of conflicts of laws, and with the same force and effect as if fully executed and performed therein.

7. I verify that I am not a current KCI employee, vendor, supplier, or otherwise affiliated with KCI. (KCI employees may submit their ideas through the corporate intranet.  Other affiliates should speak with their contacts at KCI regarding the process for submitting their ideas).
